These Terms of Service ("Terms") govern the website, customer portal, virtual office, business address, mail handling, workspace access, and related services offered by Nex-Gen Offices, LLC ("Nex-Gen," "we," "us," or "our").
By purchasing, accessing, or using our services, you agree to these Terms and our Acceptable Use Policy.
1. Eligibility and Authority
You must be legally capable of entering into a binding agreement. If you establish an account for a company or another person, you represent that you are authorized to bind that person or entity to these Terms.
2. Services
Nex-Gen may offer business address services, virtual office services, mail receipt and handling, mail scanning or forwarding, workspace or meeting room access, and other business support services.
Specific features, allowances, pricing, and service availability are determined by the plan or service selected at the time of purchase and any separate written agreement between you and Nex-Gen.
3. Account and Address Activation
Payment alone does not activate the right to receive mail or use a Nex-Gen address.
Activation may require completion and approval of identity verification, postal authorization documents, supporting identification, account information, and other compliance requirements.
We may delay or refuse address activation until all required information and documentation have been received and approved.
4. USPS and CMRA Requirements
Clients receiving mail through Nex-Gen must comply with applicable United States Postal Service requirements governing Commercial Mail Receiving Agencies and private mailboxes.
You agree to provide accurate and complete information and to complete any required PS Form 1583, identity verification, address verification, or related documentation.
You must promptly notify Nex-Gen if information supplied for postal compliance changes.
5. Subscription Billing and Renewal
Unless a separate written agreement states otherwise, recurring virtual office plans are billed monthly in advance and automatically renew until canceled.
By providing a payment method, you authorize Nex-Gen and its payment processor to charge recurring subscription fees and other authorized charges associated with your account.
You are responsible for maintaining a valid payment method and accurate billing information.
6. Cancellation and Refunds
Unless otherwise stated in writing, you may request cancellation before your next recurring billing date. Cancellation prevents future renewal after the applicable paid service period.
Fees already charged are generally non-refundable once the applicable service period has begun, except where required by law or expressly agreed to by Nex-Gen.
Cancellation does not eliminate charges already incurred for postage, forwarding, special handling, workspace use, or other additional services.
7. Additional Charges
Depending on your plan and usage, additional charges may apply for mail forwarding, postage, courier services, document scanning, oversized items, special handling, workspace use, meeting rooms, or other requested services.
Applicable additional charges may be charged to the payment method associated with your account.
8. Mail Handling
Nex-Gen will use commercially reasonable efforts to handle mail according to your active plan and instructions.
Nex-Gen may refuse or return items that are unlawful, hazardous, perishable, improperly addressed, oversized, unsafe, or impractical to receive or store.
Nex-Gen is not responsible for delays, damage, or loss occurring after mail or packages have been transferred to the United States Postal Service, a courier, freight company, or other third-party carrier.
9. Proper Use of the Business Address
The Nex-Gen address may be used only in a manner consistent with your active service plan, applicable law, postal regulations, and these Terms.
A virtual office or private mailbox does not represent that you physically occupy the location as a full-time private office unless Nex-Gen has expressly agreed otherwise in writing.
Registered agent service is not included unless Nex-Gen separately agrees in writing to provide that service.
10. Customer Responsibilities
You are responsible for:
- Providing accurate, complete, and current account information.
- Maintaining the security of your account credentials.
- Using the services only for lawful business purposes.
- Ensuring that your business activities comply with applicable laws and regulations.
- Keeping mail handling and forwarding instructions current.
- Promptly notifying Nex-Gen of changes affecting postal or identity records.
11. Acceptable Use
The Nex-Gen Acceptable Use Policy is incorporated into these Terms.
Nex-Gen may investigate suspected misuse and may restrict, suspend, or terminate services when reasonably necessary to protect customers, employees, the public, postal compliance, or Nex-Gen.
12. Service Changes
We may modify service features, procedures, pricing, or availability from time to time. Material changes affecting recurring fees will be communicated as appropriate before they take effect.
13. Third-Party Services
Some services depend on third parties, including payment processors, postal services, couriers, telecommunications providers, hosting providers, and technology vendors.
Nex-Gen is not responsible for failures or delays caused solely by third-party systems outside our reasonable control.
14. Intellectual Property
The TNVirtualOffice.com website, Nex-Gen branding, software, graphics, text, design, and other original materials are owned by Nex-Gen or its licensors and are protected by applicable intellectual property laws.
You may not reproduce, sell, modify, distribute, or commercially exploit Nex-Gen materials without authorization.
15. Account Security and Secure Areas
Customer and administrative portal areas are restricted to authorized users. You may not attempt to access another person's account, bypass authentication, probe security controls, or interfere with the operation of the website.
16. Disclaimer of Warranties
To the maximum extent permitted by law, the website and services are provided on an "as available" basis. Nex-Gen does not guarantee that services will be uninterrupted, error-free, or suitable for every licensing, banking, lending, regulatory, search-engine, or governmental purpose.
Clients are responsible for determining whether a virtual office address is acceptable for their particular business, agency, license, account, filing, or transaction.
17. Limitation of Liability
To the maximum extent permitted by law, Nex-Gen will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost opportunities, or loss of data arising from use of the services.
To the maximum extent permitted by law, Nex-Gen's aggregate liability arising from the affected services will not exceed the amount paid by the client to Nex-Gen for those services during the three months immediately preceding the event giving rise to the claim.
18. Indemnification
You agree to defend, indemnify, and hold harmless Nex-Gen and its owners, employees, agents, contractors, and affiliates from third-party claims, liabilities, losses, or reasonable costs arising from your unlawful use of the services, violation of these Terms, or infringement of another party's rights.
19. Suspension and Termination
Nex-Gen may suspend or terminate services for nonpayment, suspected fraud, violation of postal requirements, violation of the Acceptable Use Policy, material misrepresentation, security concerns, unlawful activity, or other material breach of these Terms.
20. Effect of Termination
When address services terminate, you must discontinue use of the Nex-Gen address and promptly update customers, vendors, government agencies, banks, directories, websites, and other parties using that address.
Mail received after termination may be returned to sender or handled as required by postal rules and Nex-Gen procedures.
21. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes relating to these Terms will be brought in an appropriate court located in Hamilton County, Tennessee.
22. Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
23. Changes to These Terms
We may update these Terms from time to time. The current version will be posted on this page with the applicable revision date.
